Terms & Conditions
These Terms and Conditions govern your access to and use of the ITLogixs Consulting Inc. website, as well as all purchases, quotations, orders, products, services, and transactions completed through the website, by email, by telephone, or through an authorized company representative.
By accessing the website, creating an account, requesting a quotation, submitting a purchase order, or placing an order, you agree to these Terms and Conditions.

Throughout these Terms, “ITLogixs,” “Company,” “we,” “us,” and “our” refer to ITLogixs Consulting Inc. “Customer,” “you,” and “your” refer to the person or organization accessing the website or purchasing products or services from us.
2. Eligibility and Authority
You must be legally capable of entering into a binding agreement to use this website or place an order.
When purchasing on behalf of a corporation, government agency, educational institution, healthcare organization, nonprofit organization, or another legal entity, you represent that you have authority to bind that entity to these Terms.
You are responsible for providing accurate, current, and complete billing, shipping, account, tax-exemption, and contact information.
3. Products and Services
ITLogixs supplies and facilitates the sale of products and solutions that may include:
IT hardware and accessories
Cloud and software solutions
Office supplies
Medical supplies and equipment
Tactical and public-safety supplies
Industrial and maintenance supplies
Consulting, sourcing, deployment, configuration, and related services
Product images, descriptions, specifications, compatibility information, and dimensions are provided for general reference. Manufacturers may change packaging, design, components, specifications, or model details without notice.
The product ultimately supplied may contain minor visual or packaging differences while remaining materially equivalent to the product ordered.
4. Product Availability
All products and services are subject to availability.
Displaying a product on the website does not guarantee that the product is currently in stock. Inventory may be maintained by ITLogixs, manufacturers, authorized distributors, suppliers, or third-party fulfilment partners.
We may:
Limit quantities;
Discontinue products;
Substitute a manufacturer-authorized successor model with your approval;
Place an order on backorder;
Cancel an unavailable item; or
Offer an alternative product.
When an item becomes unavailable after an order is submitted, we will make reasonable efforts to contact you and provide available options.
5. Pricing and Currency
Unless otherwise expressly stated:
All prices are displayed in Canadian dollars;
Prices exclude GST, HST, PST, QST, environmental fees, recycling fees, duties, shipping, handling, installation, and other applicable charges;
Prices may change without notice before an order is accepted; and
Product pricing may be affected by manufacturer changes, distributor costs, exchange rates, supply constraints, freight costs, and market conditions.
The price applicable to an order is the price confirmed by ITLogixs when the order is accepted.
We attempt to maintain accurate pricing, but typographical, technical, supplier-feed, or calculation errors may occur. If an error is identified, we may correct it and offer you the option to proceed at the corrected price or cancel the affected item for a refund.
Mandatory charges will be disclosed before the customer completes the transaction. Canadian businesses must avoid misleading pricing representations and undisclosed mandatory charges. (Competition Bureau)
6. Quotations
Unless a quotation states otherwise:
Quotations are valid for 15 calendar days;
Product availability is not guaranteed until the order is accepted;
Freight, taxes, duties, environmental fees, installation, and special handling may be additional;
Manufacturer or distributor price changes may require revision;
Estimated delivery dates are not guaranteed; and
A quotation is not an acceptance of an order.
A quotation may contain additional project-specific conditions. When there is a conflict, the written quotation or signed agreement will govern the applicable transaction.
7. Orders and Acceptance
Submitting an order does not mean that ITLogixs has accepted it.
An order is accepted only when we:
Send a formal order confirmation;
Issue an invoice;
Process or capture payment;
Begin procurement or performance; or
Ship the product,
whichever occurs first.
We may request additional information or verification before accepting an order, including verification of:
Customer identity;
Billing and shipping addresses;
Payment authorization;
Purchase-order authority;
Tax-exempt status;
End-user information;
Export-control compliance; or
Intended product use.
We reserve the right to reject or cancel an order where permitted by law, including orders involving pricing errors, suspected fraud, payment concerns, restricted products, unavailable inventory, sanctions restrictions, unauthorized resale, or inaccurate customer information.
8. Purchase Orders
Purchase orders are subject to ITLogixs approval.
Terms printed or referenced on a customer purchase order will not modify these Terms unless expressly accepted in writing by an authorized representative of ITLogixs.
Purchase-order customers remain responsible for all authorized purchases made using their account, purchase-order number, employee credentials, or approved procurement channel.
9. Payment Terms
Available payment methods may include credit card, electronic funds transfer, wire transfer, cheque, approved credit terms, or another method authorized by ITLogixs.
Unless written credit terms have been approved, payment is due when the order is placed.
For approved credit accounts:
Invoices are payable according to the payment terms shown on the invoice;
Late balances may accrue interest at the lower of 1.5% per month or the maximum lawful rate;
Credit privileges may be suspended or withdrawn;
Future orders may require advance payment; and
The customer is responsible for reasonable collection costs permitted by law.
Customers must not initiate a chargeback for a valid transaction without first contacting ITLogixs and making a reasonable effort to resolve the issue.
10. Taxes
The customer is responsible for all applicable federal, provincial, territorial, municipal, environmental, and other taxes or fees.
GST, HST, PST, RST, and QST will be calculated according to applicable law and the delivery destination.
Customers claiming a tax exemption must provide valid documentation before the order is invoiced. Tax cannot necessarily be removed retroactively after an order has been processed.
11. Shipping and Delivery
ITLogixs may ship using its selected carrier, a manufacturer, a distributor, or a third-party fulfilment provider.
Delivery dates are estimates unless expressly guaranteed in writing. Delays may occur because of inventory constraints, carrier conditions, weather, customs, supplier delays, labour interruptions, natural disasters, or circumstances outside our reasonable control.
Unless otherwise agreed:
Orders may be delivered in multiple shipments;
Partial shipments may be invoiced separately;
The customer must provide a complete and accessible delivery address;
Additional charges may apply for remote areas, inside delivery, lift-gate service, appointment delivery, oversized items, hazardous materials, or special handling;
The customer is responsible for delays or costs caused by incorrect delivery information or refusal of delivery.
Customers must inspect shipments promptly and retain all packaging when reporting damage.
12. Free-Shipping Promotion
Standard ground shipping is free on eligible orders with a merchandise subtotal exceeding $300 CAD before taxes, unless otherwise stated.
Free shipping may exclude:
Remote or extended-service locations;
Yukon, Northwest Territories, and Nunavut;
Oversized, overweight, palletized, or freight-class products;
Hazardous or temperature-controlled materials;
Special-order products;
Expedited or appointment delivery;
Inside delivery and lift-gate service;
Manufacturer-imposed freight charges; and
Orders requiring multiple or specialized shipments.
Any exclusion or additional freight charge will be disclosed before order completion or submitted for customer approval.
13. Risk of Loss and Title
Risk of loss passes to the customer upon delivery to the shipping address, except where applicable law provides otherwise.
Title to products passes only after ITLogixs receives full payment of all amounts owing for the applicable order.
The customer must not resell, transfer, pledge, or dispose of unpaid products in a way that prejudices ITLogixs’s lawful ownership or security rights.
14. Inspection, Shortages, and Shipping Damage
Customers should inspect delivered products immediately.
Visible shipping damage, shortages, or incorrect items should be reported to ITLogixs within five business days after delivery.
When reporting an issue, please provide:
Order or invoice number;
Product number;
Quantity affected;
Description of the issue;
Photographs of the product and packaging; and
Carrier delivery documentation, when available.
Failure to report visible damage promptly may affect our ability to submit a carrier claim, but nothing in this section limits any non-waivable statutory rights.
15. Returns
Unless a product is identified as final sale or another written policy applies, eligible products may be requested for return within 30 calendar days after delivery.
All returns require prior authorization and a Return Merchandise Authorization number.
To qualify for a discretionary return, a product generally must be:
Unused;
Uninstalled;
Unregistered;
Unconfigured;
In resalable condition;
Complete with accessories, manuals, licences, and packaging; and
Accompanied by proof of purchase.
A restocking fee of up to 20% may apply to non-defective discretionary returns, together with original and return shipping costs.
No discretionary return will be accepted until ITLogixs issues written authorization.
Canadian businesses are generally not required to accept change-of-mind returns unless they have promised to do so, although defective products and statutory consumer protections remain applicable. (Innovation, Science and Economic Dev.)
16. Non-Returnable and Final-Sale Items
The following products may be non-returnable:
Opened or activated software;
Digital licences, subscriptions, cloud services, and downloadable products;
Registered or activated hardware;
Custom-configured or built-to-order products;
Special-order and non-stock products;
Clearance and final-sale products;
Opened consumables;
Personal protective equipment;
Medical, sterile, hygienic, or patient-contact products;
Products with removed serial numbers;
Used, damaged, altered, or incomplete products;
Hazardous materials;
Products restricted by manufacturer return policies; and
Products purchased for export.
This section does not remove rights that cannot legally be waived.
17. Defective Products and Manufacturer Warranties
Products may be covered by the original manufacturer’s warranty.
Warranty duration, coverage, remedies, registration requirements, geographic restrictions, and exclusions are determined by the manufacturer.
ITLogixs may assist customers with warranty claims but does not control the manufacturer’s decision or processing time.
A defective product may, depending on the applicable policy, be:
Repaired;
Replaced;
Credited;
Referred to the manufacturer; or
Otherwise remedied as required by law.
Damage resulting from misuse, improper installation, electrical conditions, accidents, unauthorized modification, improper storage, failure to follow instructions, or normal wear is not considered a manufacturing defect.
18. Software, Cloud Services, and Digital Products
Software, subscriptions, cloud services, licences, and digital products may be subject to additional terms imposed by the publisher, manufacturer, or service provider.
By purchasing or using such products, the customer agrees to the applicable:
End-user licence agreement;
Subscription agreement;
Acceptable-use policy;
Privacy terms;
Renewal conditions; and
Service-level terms.
Licences may be non-refundable once issued, activated, registered, provisioned, or delivered electronically.
Subscription renewals will not be automatic unless clearly disclosed and authorized.
19. Professional and Consulting Services
Consulting, implementation, configuration, migration, installation, training, and related services may require a separate statement of work, quotation, or service agreement.
Unless otherwise agreed:
Service dates are estimates;
The customer must provide timely access, information, systems, personnel, and approvals;
Delays caused by the customer may affect pricing and delivery schedules;
Additional work outside the agreed scope may be billed separately;
The customer is responsible for maintaining current backups before services begin; and
ITLogixs does not guarantee uninterrupted systems or specific commercial results.
20. Medical, Tactical, Safety, and Industrial Products
Certain products require professional selection, training, licensing, installation, inspection, maintenance, or regulatory compliance.
The customer is responsible for:
Confirming product suitability;
Reviewing manufacturer specifications;
Ensuring lawful purchase and use;
Obtaining required licences, permits, approvals, or certifications;
Providing proper training;
Following safety instructions; and
Complying with workplace, healthcare, public-safety, environmental, and industry-specific requirements.
Website information is not medical, engineering, safety, legal, or regulatory advice.
ITLogixs does not sell products to persons prohibited from purchasing or possessing them.
21. Export Controls and Restricted Transactions
Products, software, encryption technology, technical information, and services may be subject to Canadian or foreign export-control, sanctions, customs, and import laws.
The customer agrees not to purchase, export, re-export, transfer, divert, or use any product in violation of applicable law.
We may require end-user, destination, intended-use, or compliance information and may decline or cancel restricted transactions.
22. Government and Institutional Customers
Government, educational, healthcare, and institutional orders may be subject to approved quotations, procurement contracts, standing offers, tender documents, funding requirements, or purchase-order terms expressly accepted by ITLogixs.
No governmental or institutional term modifies these Terms unless ITLogixs expressly agrees to it in writing.
23. Accounts and Website Security
You are responsible for maintaining the confidentiality of your account credentials and restricting access to your account.
You agree to notify ITLogixs promptly of unauthorized access or suspected account compromise.
You may not:
Use another person’s account without authorization;
Attempt to bypass security controls;
Introduce malware or harmful code;
Scrape or extract website content using automated tools without permission;
Interfere with website operation;
Commit fraud or impersonation; or
Use the website for unlawful activity.
We may suspend or terminate access to protect customers, systems, suppliers, or the Company.
24. Intellectual Property
All website content—including text, graphics, logos, icons, layouts, images, databases, software, and branding—is owned by or licensed to ITLogixs and is protected by applicable intellectual-property laws.
You may use the website only for legitimate purchasing and informational purposes.
You may not reproduce, republish, modify, distribute, sell, license, reverse-engineer, or commercially exploit website content without prior written permission.
Third-party trademarks remain the property of their respective owners. Their appearance does not necessarily imply endorsement, sponsorship, or affiliation.
25. Reviews and Submitted Content
When you submit a review, testimonial, image, suggestion, or other content, you confirm that:
You have the right to submit it;
It is accurate and based on genuine experience;
It does not violate another party’s rights;
It is not unlawful, defamatory, misleading, or abusive; and
It does not contain malware or confidential information.
You grant ITLogixs a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and adapt the submitted content for legitimate business and promotional purposes.
We may moderate or remove content but are not obligated to publish any submission.
26. Privacy
Personal information is collected, used, stored, and disclosed according to our Privacy Policy and applicable privacy laws.
Customers should review the Privacy Policy before creating an account or submitting personal information.
PIPEDA establishes federal ground rules for private-sector handling of personal information in commercial activities, while Alberta also has private-sector privacy legislation that may apply. (Innovation, Science and Economic Dev.)
27. Electronic Communications
By contacting ITLogixs or placing an order electronically, you consent to receiving transactional communications relating to:
Quotations;
Orders;
Payments;
Shipping;
Product availability;
Account security;
Warranties;
Service delivery; and
Customer-support matters.
Promotional communications will be sent only as permitted by applicable law. You may unsubscribe from marketing emails using the provided mechanism, although transactional messages may still be sent.
28. Third-Party Websites and Services
The website may contain links to manufacturer, distributor, payment processor, carrier, cloud provider, or other third-party websites.
ITLogixs does not control and is not responsible for third-party content, availability, security, privacy practices, or contractual terms.
Access to third-party websites is at your own discretion.
29. Website Availability
We aim to keep the website available and accurate but do not guarantee uninterrupted, error-free, or secure access.
The website may be unavailable because of maintenance, updates, technical failures, cybersecurity events, third-party outages, or circumstances beyond our control.
We may change, suspend, or discontinue website functionality without notice where reasonably necessary.
30. Disclaimers
To the maximum extent permitted by law:
The website is provided on an “as available” basis;
Product recommendations are based on information provided by the customer and available manufacturer data;
ITLogixs does not guarantee that every product will be suitable for every system, environment, application, or intended use;
Manufacturer specifications and compatibility requirements remain controlling;
Estimated delivery dates are not guarantees; and
No statement creates a warranty unless expressly included in a written agreement.
Nothing in these Terms excludes statutory warranties, conditions, remedies, or consumer rights that cannot legally be excluded.
31. Limitation of Liability
To the maximum extent permitted by law, ITLogixs will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of revenue, profits, data, business opportunity, goodwill, or anticipated savings.
Except for liability that cannot legally be limited, ITLogixs’s aggregate liability arising from a product, service, order, or transaction will not exceed the amount paid to ITLogixs for the specific product or service giving rise to the claim.
These limitations apply regardless of the legal theory asserted and even when a party has been advised that damages may occur.
32. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless ITLogixs, its directors, officers, employees, contractors, and representatives from claims, losses, liabilities, costs, and reasonable legal expenses arising from:
Your unlawful use of the website;
Your breach of these Terms;
Your infringement of third-party rights;
Your unauthorized resale or export of products;
Your misuse, improper installation, or unsafe use of products; or
Inaccurate information supplied by you.
This obligation does not apply to the extent a claim results from ITLogixs’s own unlawful conduct.
33. Force Majeure
ITLogixs will not be responsible for delay or non-performance caused by circumstances beyond its reasonable control, including:
Natural disasters;
Fire or flood;
Severe weather;
Epidemics or public-health emergencies;
War, terrorism, or civil unrest;
Government restrictions;
Sanctions or export controls;
Cyberattacks;
Labour disputes;
Transportation interruptions;
Utility or telecommunications failures;
Manufacturer or supplier shortages; and
Carrier or customs delays.
Performance will resume as reasonably practicable after the event ends.
34. Cancellation by ITLogixs
We may cancel an order before shipment or service delivery due to:
Product unavailability;
Pricing or specification errors;
Supplier refusal;
Payment failure;
Suspected fraud;
Compliance concerns;
Export restrictions;
Incorrect customer information; or
Circumstances beyond our control.
When a prepaid order is cancelled by ITLogixs, we will refund the applicable amount using the original payment method unless otherwise agreed.
35. Customer Cancellation
A customer may request cancellation before an order is processed.
Cancellation is not guaranteed after procurement, configuration, licensing, production, or shipment has begun.
The customer may be responsible for non-refundable supplier charges, licence fees, freight costs, restocking charges, or work already completed.
Applicable statutory cancellation rights remain unaffected. Alberta’s Internet Sales Contract Regulation imposes disclosure and cancellation requirements for qualifying online consumer transactions, and consumers cannot waive protections granted by the Consumer Protection Act. (Open Alberta)

The parties will attempt in good faith to resolve a dispute through direct discussion.
Nothing in these Terms requires a consumer to waive a non-waivable right, statutory remedy, or access to a court or regulatory authority.
37. Governing Law
These Terms and any dispute arising from them are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law rules.
Subject to any mandatory consumer-protection rights, the parties submit to the courts located in Alberta.
38. Provincial and Consumer Rights
Consumer-protection requirements may vary by province or territory.
Nothing in these Terms limits, excludes, or waives any right or remedy that cannot lawfully be limited, excluded, or waived.
Where these Terms conflict with mandatory legislation, the mandatory legislation will prevail.
39. Changes to These Terms
ITLogixs may update these Terms from time to time.
The revised version will be posted on the website with a new effective date. Changes apply prospectively and will not retroactively modify an accepted order unless required by law or agreed by both parties.
Continued use of the website after revised Terms are posted constitutes acceptance of the revised Terms for future use and transactions.
40. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be modified or severed to the minimum extent necessary.
The remaining provisions will continue in effect.
41. No Waiver
Failure by ITLogixs to enforce a provision does not waive the right to enforce it later.
A waiver is valid only when made in writing by an authorized representative.
42. Entire Agreement
These Terms, together with the applicable quotation, order confirmation, invoice, return policy, privacy policy, software licence, statement of work, or other expressly incorporated document, constitute the agreement between the parties concerning the applicable transaction.
